The Impact You’ll Make in this Role: As a Senior Corporate Counsel, the candidate will join the Securities and M&A team and will interact with and support various groups across the company, with a primary focus on corporate governance, M&A, and global corporate legal matters. Report to the Vice President, Associate General Counsel M&A and Securities. Provide counsel on corporate governance matters, and European corporate legal and ESG matters, including preparation for Board meetings, preparing, managing, and implementing corporate governance and related policies, and preparing, managing, and implementing corporate policies. Stay up-to-date and keep the Legal team advised on external governance trends, European corporate governance and ESG regulations, general legal issues, and best practices. Provide legal training to members of management and business partners. Provide support for M&A transactions, including working with Corporate Development on deal structure and LOI terms, planning and assisting in due diligence, drafting, and negotiating deal agreements, and actively managing deal process and execution. Provide support on corporate and other transactions and special projects. Your Skills and Expertise: Juris Doctorate and 6 years of experience as a corporate law generalist with experience in securities and M&A work Master’s degree in law from an accredited institution Bar admission / Qualified to practice law in the country.
